Terms of Service

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission. By using the Service you represent and warrant that you meet these eligibility requirements.

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your password and for all activity under your account.
• Notify us immediately at legal@imaginethissound.com if you suspect unauthorised access.
• We reserve the right to suspend or terminate accounts that violate these Terms.

"Vibes" are in-platform credits used to access AI generation and premium features. Vibes have no cash value, are non-transferable, and cannot be exchanged for money. Unused Vibes expire if your account is closed or your subscription is cancelled. We reserve the right to modify the Vibes cost of any feature with reasonable notice.

You may upload or post content (profile images, bios, community posts, comments) to the Service. You retain ownership of your content. By posting, you grant us a worldwide, royalty-free, non-exclusive licence to display, reproduce, and distribute your content solely for the purpose of operating and improving the Service.

You represent that you have all rights necessary to grant this licence and that your content does not violate any third-party rights or applicable laws.

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Upload viruses, malware, or other malicious code.
• Scrape, crawl, or systematically collect data from the Service without our written permission.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to spam, harass, or harm other users.
• Circumvent or attempt to circumvent any feature limitations or access controls.
• Resell or commercialise access to the Service without our express written consent.

When you choose to distribute music via DistroKid through our Service, you are also subject to DistroKid's own terms of service. You represent that:

• You own or control all rights to the music you submit for distribution.
• The music does not infringe any third-party copyright, trademark, or other rights.
• AI-generated music you distribute complies with the terms of the underlying AI provider and the distribution platform's policies.

We are not responsible for rejection or removal of content by DistroKid or any downstream streaming platform.

Where the Service facilitates revenue sharing (download sales, merch, streaming), the applicable split is displayed on your dashboard and may be updated with notice. Payouts are processed via Stripe Connect. You are responsible for reporting and paying any applicable taxes on income earned through the Service.

The ImagineThisSound name, logo, design, software, and platform features are our exclusive property or licensed to us. You may not use our trademarks, logos, or brand assets without our prior written consent. Nothing in these Terms transfers any of our intellectual property rights to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL IMAGINETHISSOUND BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

You agree to indemnify, defend, and hold harmless ImagineThisSound and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your content or prompts; (c) your violation of these Terms; or (d) your violation of any third-party rights.

We may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including for violations of these Terms. Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination (including Sections 5, 6, 10–13, and 15) will survive.

You may delete your account at any time from your account settings. See our Privacy Policy for information on data retention after account deletion.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm. You waive the right to participate in a class action lawsuit or class-wide arbitration.

We may update these Terms from time to time. We will notify you of material changes by email or a prominent notice on the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
